Terms of Service

Welcome to SME Power. Please read these terms carefully before signing contracts or using services. By using our services, you agree to be bound by these terms.

1. Service & Definitions

SME Power ("We") provides Client ("You") with services not limited to hosting, automation, AI deployment, and data consulting ("Services").

Disclaimer: Our AI predictions and analysis results are based on historical data and probabilistic models for business reference only, not as absolute guarantees of future facts. We are not directly liable for business profits or losses based on AI recommendations.

2. Delivery & Deployment Modes

  • SaaS Mode (Default): Delivered via SaaS. No hardware/software purchase needed. You acquire usage rights, not ownership.
  • Private Deployment: For special security needs, we assist in private server setup. Note:
    • Core algorithms and admin panel remain on our SaaS platform.
    • Private servers are for local data storage/compute only and must maintain encrypted connection to our node.
    • Hardware, bandwidth, and on-site deployment fees are paid by you.

3. Intellectual Property

  • Client Data: All your business data (orders, client lists, finance) remains yours.
  • Deliverables: You own usage rights to paid custom code, scripts, and configs.
  • Underlying Tech: IP of underlying frameworks, tools, and AI architectures belongs to SME Power or third parties.

3. Payment & Refund Policy

  • Prepayment: Prepayment required. Initial cooperation requires 3 months prepaid.
  • No Refund: Given service irreversibility, fees are non-refundable once work begins, barring confirmed major failures.
  • Overdue Handling: Service/API access suspended if overdue >7 days.

4. Data Privacy & NDA

We commit to strict confidentiality.

  • We will not disclose trade secrets to third parties without written consent.
  • Your data is used solely for your service, NEVER for training our public AI models.
  • Signed NDAs prevail over these terms.

5. Limitation of Liability

To max extent permitted by law, SME Power is not liable for:

  • Interruptions caused by third-party failures (OpenAI, AWS, WeChat).
  • Data leaks caused by your improper operation or password neglect.
  • Indirect, incidental, or punitive damages (e.g., lost profits).
  • Liability Cap: Total liability shall not exceed total fees paid in the 3 months preceding the claim.

6. Governing Law

Governed by PRC laws. Disputes to be resolved amicably or submitted to Shenzhen Arbitration Commission.
